Terms Of Service
Effective date: September 29, 2026
These Terms of Service ("Terms") are an agreement between you and Negotia Now Limited Liability Company, a Texas limited liability company doing business as NegotiaNow ("NegotiaNow," "we," "us," or "our"). They apply when you use negotianow.com, sign up for our text messages, or buy our services. By doing any of those things, you agree to these Terms. If you have a separate signed agreement with us, that agreement controls wherever it conflicts with these Terms.
1. Our services
NegotiaNow provides digital marketing services, including video production, Google Ads management, Facebook and Instagram (Meta) ads management, landing pages, websites, CRM setup, marketing automation, and political campaign marketing. The specific services, deliverables, and price for your account are set out in your proposal, invoice, or order form.
2. Using our website
You agree not to misuse the website. That includes trying to break its security, copying it for commercial use, or using it for anything unlawful. Website content is provided for general information and may change without notice.
3. Text messaging program (SMS terms)
Program: NegotiaNow Text Messages. When you check a consent box on our forms, you may receive texts from NegotiaNow. Non-marketing texts cover responses to your inquiry, consultation scheduling, appointment reminders, and account or service updates. If you separately agree to marketing texts, you may also receive special offers, promotions, and marketing tips. Consent to receive texts is not a condition of any purchase.
Message frequency: Message frequency varies.
Cost: Message and data rates may apply for any messages sent to you from us and to us from you.
Opt out: Text STOP to (682) 270-9079. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After that, you will no longer receive SMS messages from us. To rejoin, sign up again the way you first signed up.
Help: Reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or (682) 270-9079.
Carriers: Carriers are not liable for delayed or undelivered messages.
Monthly services are billed in advance on a recurring basis at the price shown on your proposal or invoice.
Advertising spend is separate from our fees. Unless we agree otherwise in writing, you pay ad platforms such as Google and Meta directly through accounts in your business's name.
One-time projects, such as website builds or individual videos, are billed as stated on your invoice.
If a payment is late, we may pause services until the account is current.
Prices may change. We will give you at least 30 days' notice before a price change affects your account.
5. Month-to-month terms and cancellation
Unless your proposal says otherwise, monthly services are month-to-month with no long-term contract. You may cancel at any time by emailing [email protected]. Cancellation takes effect at the end of your current paid billing period, and you keep receiving services until then. Fees already paid are not refundable, including for partial months. Work completed before cancellation will be delivered to you once paid for.
6. What we need from you
Accurate information about your business, offers, licenses, and pricing
Timely approval of content, ads, and access to the accounts we need (for example, Google, Meta, domain, and website logins)
That the products, services, and claims you ask us to advertise are lawful and truthful
That you have the rights to any logos, photos, music, or other materials you give us
If we send texts or emails to your customers on your behalf, that those customers gave the consent the law requires. You are responsible for your own messaging registrations, such as A2P 10DLC brand and campaign registration.
7. No guaranteed results
We work hard for strong results, but marketing depends on many things we do not control. These include ad platform algorithms and policies, competition, your pricing, your follow-up with leads, and market conditions. We do not guarantee any specific ranking, number of leads, sales, views, return on ad spend, or election outcome. Any results we share from other clients are examples, not promises.
8. Ownership
Your accounts: Ad accounts, pixels, and ad data we build for you are set up under your business and remain yours, including after you cancel.
Content we create: Once paid in full, you own the final edited videos, graphics, and ad copy we deliver to you for your account. Raw footage, project files, templates, and our internal processes remain ours unless we agree otherwise in writing.
Portfolio use: We may show work we created for you, and your business name, in our portfolio and marketing. If you don't want that, tell us in writing and we will stop using it going forward.
Hosted websites and CRM: Websites, funnels, and CRM accounts hosted on our HighLevel platform stay active while your subscription is active. If you cancel, we will work with you in good faith on an export or transfer where the platform allows it.
9. Political campaign services
We work for one campaign per race and do not represent opposing candidates in the same race.
Campaign services are charged at our standard rates, documented in writing. Unless otherwise agreed in writing, campaign work is paid in advance.
The campaign is responsible for the accuracy of its "paid for by" and political advertising disclosures and for completing its own advertiser identity verification with Google and Meta. The campaign is also responsible for all campaign finance reporting and for compliance with election law.
Ad platforms restrict new political ads near elections. We are not responsible for ads that are delayed, rejected, or stopped because of platform review, verification timelines, or platform blackout periods.
10. Third-party platforms
Our services depend on platforms such as Google, Meta, TikTok, and HighLevel. Their terms, policies, outages, and decisions, such as rejecting an ad or suspending an account, are outside our control. We are not liable for them.
11. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, NEGOTIANOW IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS OR OUR SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE. THE WEBSITE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
12. Indemnification
You agree to defend and hold NegotiaNow harmless from claims arising from the materials you provide, the products or services you ask us to advertise, your messaging to your own customers, or your violation of these Terms or the law.
13. Governing law
These Terms are governed by the laws of the State of Texas. Any dispute will be handled in the state or federal courts located in Parker County, Texas, or the nearest federal court. Before filing any claim, both sides agree to try in good faith to resolve the dispute informally for at least 30 days.
14. Changes to these Terms
We may update these Terms. The effective date at the top shows when they last changed. Continuing to use our website or services after a change means you accept the updated Terms.
